The Parish School Board of Cameron Parish, Louisiana, governing authority of School District No. 15 of Cameron Parish, Louisiana, met in regular session at 5:00 o’clock p.m. on Monday, August 10, 2020, at the regular meeting place of said Board in the Cameron Parish School Board Office, 510 Marshal Street, Cameron, Louisiana, pursuant to the provisions of written notice given to each and every member thereof and duly posted in the manner required by law.
The meeting was called to order and on roll call, the following members were present: Joseph Delcambre, Randall Faulk, Robin Morales, Sharon Picou, Marsha Trahan
ABSENT: Telesha Bertrand, Christi LaBove, Sheila Miller
The meeting was called to order and the roll called with the above results.
Thereupon, upon motion made by Joseph Delcambre and seconded by Randall Faulk, the following resolution was adopted, the vote thereon being as follows:

RESOLUTION
A RESOLUTION OF THE CAMERON PARISH SCHOOL BOARD, GOVERNING AUTHORITY OF SCHOOL DISTRICT NO. 15 OF CAMERON PARISH, LOUISIANA, AUTHORIZING PREPARATION AND DISTRIBUTION OF THE PRELIMINARY OFFICIAL STATEMENT AND THE OFFICIAL STATEMENT AND AUTHORIZING THE FORM OF AND EXECUTION OF THE BOND PURCHASE AGREEMENT IN CONNECTION WITH THE ISSUANCE, SALE AND DELIVERY OF $18,000,000 OF ITS GENERAL OBLIGATION BONDS; AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH.
WHEREAS, on November 16, 2019, an election was held within School District No. 15 of Cameron Parish, Louisiana (the “Issuer”) to determine the following proposition:
BOND PROPOSITION
Shall School District No. 15 of Cameron Parish, Louisiana (“District”), incur debt and issue bonds in an amount not exceeding Eighteen Million ($18,000,000) Dollars, in one or more series, for a period not exceeding twenty (20) years from date thereof, with interest at a rate or rates not exceeding eight (8%) percent per annum, for the purpose of acquiring and/or improving lands for buildings and playgrounds, purchasing, erecting, enlarging and/or improving school buildings and other related facilities and necessary equipment and furnishings therefor, title to which shall be in the public, which bonds shall be general obligations of the District and will be retired with, paid from and secured by ad valorem taxes estimated to be 26.12 mills for the first year, on all taxable property within the District sufficient in rate and amount to pay said bonds in principal and interest, as provided by Article VI, Section 33 of the 1974 Louisiana Constitution, as amended, and statutory authority supplemental thereto?
WHEREAS, at said election, the majority of qualified electors of the Issuer voting in said election voted in favor of the Bond Proposition and the issuance of not exceeding $18,000,000 of the Issuer’s General Obligation Bonds (the “Bonds”); and
WHEREAS, pursuant to the provisions of La. R.S. 39:505(B), the Bonds may be sold at private sale in the manner determined by the Board of Commissioners, as governing authority of the Issuer, provided the issuance of such general obligation bonds is approved by the State Bond Commission by two-thirds of the members present and voting thereon; and
WHEREAS, on May 16, 2019, the Louisiana State Bond Commission members present at said meeting gave unanimous approval for conduct of a special election to be held on November 16, 2019 within the Issuer to determine issuance of the bonds, and in the event the election carried, gave further authority, to issue, sell and deliver the bonds so authorized, and to levy and collect annual ad valorem taxes on all taxable property within the limits of the Issuer; and
WHEREAS, the Issuer expects to issue and sell $18,000,000 of the Bonds, which will be marketed and sold on or prior to October 28, 2020; and
WHEREAS, the Issuer desires to authorize preparation and distribution of a Preliminary Official Statement and an Official Statement, relating to issuance of the Bonds, and authorize distribution to prospective and actual purchasers of the Bonds and to authorize execution and delivery of a Bond Purchase Agreement between the Issuer and Stifel, Nicolaus & Company, Incorporated (the “Underwriter”), providing for sale of the Bonds within the parameters set forth in the Bond Proposition; and
NOW, THEREFORE, BE IT RESOLVED by the Cameron Parish School Board, governing authority of School District No. 15 of Cameron Parish, Louisiana:
SECTION 1. The facts recited in the preamble to this resolution are found to be true and correct and are specifically and affirmatively adopted by the Issuer as resolutions of the Issuer to the extent not previously adopted or otherwise adopted herein.
SECTION 2. The Issuer hereby authorizes preparation, use and distribution of a Preliminary Official Statement in connection with marketing and sale of the Bonds by the Underwriter in substantially the form submitted to the Issuer, with such additions, omissions and changes as may be approved by Bond Counsel to the Issuer (“Bond Counsel”). The Issuer further authorizes and approves execution of a final Official Statement by the President and/or Secretary of the Issuer and the delivery of such Official Statement to the Underwriter for use in connection with the public offering and sale of the Bonds.
SECTION 3. The sale of the Bonds to the Underwriter within the parameters set forth in the Bond Proposition is hereby approved. Upon sale of the Bonds, the President and/or the Secretary of the Issuer, as Executive Officers, are each authorized, empowered and directed to execute on behalf of the Issuer, the Bond Purchase Agreement between the Issuer and the Underwriter in a form acceptable to Bond Counsel, with such additions, omissions and changes as may be approved by Bond Counsel.
SECTION 4. The President and/or Secretary of the Issuer be and they are further authorized, empowered, and directed to execute on behalf of the Issuer, at or about the time of execution of the Bond Purchase Agreement, any and all other documents deemed necessary by Bond Counsel, to be executed and delivered contemporaneously with the Bonds.
SECTION 5. A copy of this Resolution shall be published immediately after its adoption in one (1) issue of the Cameron Pilot, the official journal of the Issuer. For a period of thirty (30) days from the date of such publication, any person in interest shall have the right to contest the legality of this Resolution and of the Bonds to be issued pursuant hereto and the provisions hereof securing the Bonds. After expiration of said thirty (30) days, no one shall have any right of action to contest the validity of the Bonds or the provisions of this Resolution, and the Bonds shall be conclusively presumed to be legal and no court shall thereafter have authority to inquire into such matters.
SECTION 6. All resolutions, ordinances, or orders in conflict herewith, be, to the extent of such conflict, and they are hereby repealed.
